Asset Management

We provide services to a wide range of clients in the asset management sector. Clients include unit and investment trust managers, managers of venture capital and private equity funds, operators and managers of specialist unregulated collective investment schemes and hedge fund managers. Bovill are able to assist with the authorisations of both fund managers and regulated collective investment schemes. Once a firm or fund is authorised, we can provide advice on the operation and management of such schemes as well as the restrictions or requirements regarding their promotion.

There are a number of regulatory issues which are of particular relevance to this sector, including the following:

  • Determination of status under MiFID and the implications this has on capital requirements;
  • Implementing procedures to identify, manage and monitor potential conflicts of interest when firms act as both operator and manager of a scheme; and
  • The implications of the Money Laundering Regulations 2007 and the risk based approach.

We have particular experience in relation to the regulatory issues associated with unregulated collective investment schemes. We can advise on whether or not a particular structure is likely to constitute a collective investment scheme and on the regulated activities of establishing and operating such schemes. We regularly advise clients in relation to the restrictions that apply to the marketing of unregulated schemes and on the scope of available exemptions.
